تأسيس الشركات في مصر 2026: دليل شامل للمصريين والأجانب
أصبحت مصر واحدة من أهم الوجهات الاستثمارية في الشرق الأوسط بعد صدور قانون الاستثمار الجديد رقم 72 لسنة 2017. ووفقاً للهيئة العامة للاستثمار والمناطق الحرة (GAFI)، يمكن الآن تأسيس شركة في مصر خلال 3 أيام عمل فقط. في هذا الدليل نشرح أنواع الشركات وإجراءات التأسيس للمصريين والأجانب.
أولاً: الإطار القانوني الحاكم
يخضع تأسيس الشركات في مصر لقانونين أساسيين:
1. *قانون الشركات رقم 159 لسنة 1981:* ينظم شركات الأموال.
2. *قانون الاستثمار رقم 72 لسنة 2017:* يمنح الحوافز والإعفاءات ويحدد إجراءات التأسيس عبر مركز خدمات المستثمرين.
ثانياً: أنواع الشركات في مصر
ينقسم النظام المصري إلى نوعين رئيسيين:

- *الشركة المساهمة:* مخصصة للمشروعات الكبرى. تتطلب 3 مؤسسين على الأقل، ورأس مالها مقسم لأسهم قابلة للتداول، ويمكن قيدها في البورصة المصرية.
*2. شركات الأشخاص:*
- *شركة التضامن والتوصية البسيطة:* تعتمد على الاعتبار الشخصي، ومسؤولية الشركاء فيها تضامنية وغير محدودة في أموالهم الخاصة. لذلك لا يُنصح بها للأجانب.
ثالثاً: تأسيس الشركات للأجانب - القواعد الخاصة
يحق للأجنبي تملك 100% من رأس مال شركته في معظم الأنشطة، مع بعض الاستثناءات الهامة:
- *الاستعلام الأمني:* إجراء إلزامي لأي مؤسس أجنبي، يستغرق من 10 إلى 15 يوم عمل.
- *الأنشطة المحظورة أو المقيدة:* نشاط الاستيراد يتطلب شريكاً مصرياً بنسبة 51% على الأقل. كما أن التملك في شبه جزيرة سيناء يخضع لموافقات خاصة.
- *الإقامة:* يمنح تأسيس شركة قائمة إقامة مستثمر لمدة سنة قابلة للتجديد حتى 5 سنوات، تشمل الأسرة.
- *تحويل الأرباح:* يكفل قانون الاستثمار حق المستثمر الأجنبي في تحويل أرباحه للخارج وتحويل رأس المال عند التصفية.
رابعاً: خطوات التأسيس العملية عبر GAFI
التأسيس لا يتم في السجل التجاري مباشرة، بل حصرياً عبر الهيئة العامة للاستثمار:
1. *شهادة عدم الالتباس:* حجز الاسم التجاري للتأكد من عدم تكراره.
2. *الإيداع البنكي:* فتح حساب مؤقت تحت التأسيس وإيداع رأس المال والحصول على شهادة بنكية.
3. *تقديم الملف:* تقديم بطاقة الرقم القومي أو جواز السفر، وعقد إيجار المقر، وتوكيل لمحامٍ ابتدائي، وتعيين مستشار قانوني (محامي استئناف) ومراقب حسابات.
4. *الإصدار:* صدور قرار التأسيس والسجل التجاري والبطاقة الضريبية.
خامساً: التكاليف والالتزامات
- رسم التأسيس: 1 في الألف من رأس المال (100 جنيه حد أدنى - 1000 حد أقصى).
- رسم شهادة عدم الالتباس: 114 جنيه.
- رسم شهادة المزاولة: 2 في الألف سنوياً.
- بعد التأسيس: يجب التسجيل في مصلحة الضرائب والتأمينات الاجتماعية، والتسجيل في ضريبة القيمة المضافة عند بلوغ حد التسجيل 500 ألف جنيه.
